Directorship & Governance Work
I serve as a director and governance professional for Web3 organizations, with a focus on institutional-grade structures, sound fiduciary judgment, and long-term protocol sustainability.
My approach to directorship is informed by an appreciation of the legal duties that attach to board-level roles, including the duty to act in good faith, for proper purposes, and with appropriate care, skill, and diligence in the circumstances.
My work sits at the intersection of:
- Web3-native governance models and decentralized coordination systems
- Established principles of directorship and fiduciary responsibilities
- Regulatory- and compliance-aware structuring for emerging technologies
Current Directorship
I currently serve as Director of Ychad.Eth Yearn BORG, a Cayman Islands foundation supporting decentralized Web3 initiatives.
In this capacity, I contribute to board-level decision-making and oversight with a view to ensuring that the foundation’s activities are conducted in a manner consistent with its objects, governance framework, and applicable legal expectations.
- Board oversight: participation in governance and strategic oversight.
- Stewardship: safeguarding the foundation’s objectives and mandates.
- Structural alignment: aligning decentralized operations with legal frameworks.
- Risk awareness: consideration of governance, treasury, and protocol-level risks.
Governance Approach
My governance approach reflects the view that decentralized organizations benefit from clarity of roles, accountability, and informed decision-making, without undermining the core values of decentralization.
In practice, this involves:
- Good faith decision-making: acting honestly and in the best interests of the organization and its mission.
- Care and skill: applying appropriate diligence and judgment to board matters.
- Proper purpose: exercising powers for their intended governance objectives.
- Role separation: maintaining clear distinctions between governance, operations, and contributors.
- Proportional process: supporting documentation and process discipline appropriate to organizational scale.
- Long-term orientation: prioritizing sustainability over short-term incentives.
Technical Literacy and Governance Oversight
In the context of Web3 organizations, effective directorship benefits from a working understanding of blockchain infrastructure and smart contract systems that underpin organizational activity.
My familiarity with blockchain architecture and smart contract design informs board-level oversight by enhancing my ability to:
- Technical engagement: engage meaningfully with technical contributors and advisors without displacing specialist roles.
- On-chain governance awareness: understand how governance decisions are expressed, automated, and enforced through smart contracts.
- Risk contextualization: identify and assess legal, operational, and governance risks arising from smart contract functionality and protocol design.
- Protocol evolution oversight: evaluate the governance implications of protocol upgrades, automation, and decentralization mechanisms.
Technical Engagement
In addition to my legal and governance responsibilities, I maintain an active interest in the technical foundations of Web3 systems. This includes hands-on engagement with smart contract code and governance-related tooling for the purpose of improving board-level oversight, risk awareness, and communication with technical teams.
This technical engagement is undertaken to support informed governance and does not constitute the provision of engineering, auditing, or development services.
